These terms are an agreement between you and Master Key Suite LLC, doing business as Master Key Suite and Master Key (“Master Key”, “we”, “us”). They cover this website, the Master Key console and phone app, and the booking, waiver and game pages we run for venues (together, the “Service”). By using the Service you agree to them.
Who these terms are for
- Venues: the businesses that subscribe to Master Key (“you” in most of these terms). If you accept these terms for a business, you confirm you can bind it.
- Staff: people a venue invites to use Master Key. You use it on your venue's behalf and under its account, and these terms apply to you too.
- Guests: people who book, sign a waiver or see their results on a venue's pages. See If you're a guest below.
Accounts
A venue's owner or admin invites its staff and decides what each person can see and do. Keep your sign-in details private and tell us at support@masterkeysuite.com if you think someone else has used your account. A venue is responsible for what happens under its account, including removing people who should no longer have access.
Plans, trials and payment
Your plan, its price, any setup fee and your billing period (monthly or annual) are those shown when you sign up or agreed with us in writing. A free trial, if offered, ends on the date we tell you, and your plan starts then unless you cancel first.
Subscriptions renew automatically at the end of each billing period for the same period until you cancel. You can cancel at any time; cancellation takes effect at the end of the period you have paid for. Fees are not refundable except where the law requires. Prices exclude taxes, which we add where required. We will give you at least 30 days' notice before a price change takes effect on your plan.
Your data
Everything your venue puts into Master Key or brings in through a connection, including your guests' and staff's information, belongs to you (“Venue Data”). You give us permission to store and use Venue Data only to provide, secure and support the Service for you. We do not sell it. Our Privacy Policy explains how we handle personal information.
You are responsible for:
- having the right to collect the information you put into Master Key and to share it with us;
- telling your guests and staff how you use their information, in your own privacy notice;
- getting any consent you need, including before sending guests marketing.
Waivers, policies and payments are the venue's
Master Key provides the tools. Each venue writes its own waiver text, booking and cancellation policies, prices and messages, and decides whether they meet the law where it operates. We do not give legal advice and we do not promise that any waiver is enforceable.
Guest payments are processed by Square through the venue's own Square account. The sale is between the venue and its guest: refunds, chargebacks and disputes are the venue's to handle under its policies.
Connected services
Master Key can connect to services you already use, such as Square, Bookeo, EscapeKit and Mailchimp. When you connect one, you authorize us to exchange data with it on your behalf. Those services are run by other companies under their own terms; we are not responsible for them, their availability or changes they make that affect a connection.
Acceptable use
You agree not to:
- use the Service to break the law or to send spam or unwanted messages;
- access another venue's data, or try to get around access controls or security;
- upload malicious code, or overload, probe or attack the Service;
- copy, resell or reverse-engineer the Service, except where the law allows it.
We may suspend access that puts the Service, other venues or guests at risk.
Our Service
We own Master Key, its software and its design. Your subscription gives your venue the right to use it while your plan is active. If you send us ideas or feedback, we may use them without owing you anything.
We work to keep Master Key available and secure, and we add and improve features over time. We may change or retire a feature; if a change materially reduces what your plan includes, we will tell you in advance.
Ending your account
You can cancel at any time. We may end or suspend an account that is unpaid or that breaks these terms, after notice where practical. For 30 days after an account ends you can ask us for an export of your Venue Data; after that we may delete it.
Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including fitness for a particular purpose and non-infringement. Suggestions Master Key makes, such as staffing or pricing signals, are for you to judge; decisions about your venue are yours.
Limits on liability
To the extent the law allows, neither side is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or revenue. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim arose.
You will defend and indemnify us against claims arising from your Venue Data, your waivers and policies, your dealings with your guests and staff, or your breach of these terms.
If you're a guest
When you book, sign a waiver or play at a venue that uses Master Key, your agreement for that visit is with the venue, including its booking policy and waiver. Contact the venue about your booking, payment or visit. These terms only ask you to use the pages fairly: don't misuse them, interfere with them or use someone else's booking or waiver link without permission.
Changes to these terms
We may update these terms. We will post the new version here with a new date, and tell venues by email before a material change takes effect. Continuing to use the Service after that means you accept the update.
Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in New York.
